Terms of Service

Please read these Terms of Service ("Terms") carefully before using the ClientDoc AI platform and related services (the "Service") operated by ClientDoc AI ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and have the legal authority to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.
2. Account Registration
You must create an account to access most features of the Service. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the security of your password and promptly notify us of any unauthorized access.
- Be responsible for all activity that occurs under your account.
- Not share your account credentials with others or allow multiple users to access the Service through a single account (unless your subscription plan explicitly allows it).
3. Permitted Use
You may use the Service only for lawful business purposes in accordance with these Terms. You agree not to:
- Use the Service to transmit spam, malware, or any content that is illegal, defamatory, or infringes third-party rights.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Circumvent any access controls, rate limits, or security measures.
- Resell or sublicense access to the Service without our written consent.
- Use automated means to access the Service in a manner that exceeds normal usage or places undue burden on our infrastructure.
4. Your Content
You retain ownership of all content you submit, upload, or create through the Service ("Your Content"). By submitting Your Content, you grant ClientDoc AI a limited, non-exclusive, royalty-free license to store, process, and display Your Content solely as necessary to provide the Service to you.
You are solely responsible for Your Content and represent that you have all rights necessary to grant the above license. We do not use Your Content to train AI models without your explicit, opt-in consent.
5. Subscriptions and Payment
Free tier
Certain features of the Service are available without charge, subject to usage limits specified on our pricing page. We reserve the right to modify free tier limits at any time with 30 days' notice.
Paid plans
Paid subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge the applicable fees. All fees are exclusive of taxes, which you are responsible for where applicable.
Refunds
Subscription fees are non-refundable except as required by applicable law or where we expressly state otherwise. If you cancel, you retain access through the end of your current billing period.
Price changes
We may change subscription prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new price.
6. Third-Party Integrations
The Service allows you to connect third-party platforms (Asana, Productive, Slack, Stripe, Paystack, etc.). Your use of those platforms is governed by their respective terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services. Disconnecting an integration may affect Service functionality.
7. Intellectual Property
The Service, including its software, design, trademarks, and documentation, is owned by ClientDoc AI and protected by intellectual property laws. These Terms do not grant you any rights in the Service beyond the limited license to use it in accordance with these Terms.
If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without restriction or compensation.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLIENTDOC AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
11. Indemnification
You agree to indemnify and hold harmless ClientDoc AI and its affiliates from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights.
12. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you materially breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Service ceases and we may delete your data after a 30-day grace period, subject to our data retention obligations.
13. Governing Law and Disputes
These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved after 30 days, disputes shall be submitted to binding arbitration, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction.
14. Changes to These Terms
We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes via email or in-app notice. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance.
15. General
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and ClientDoc AI regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Our failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
